1 Introduction

Welcome to Phambili Technologies. By subscribing to our IT services and solutions, including but not limited to technical support, cloud solutions, email and domain hosting, high-volume printing, networking solutions, and CCTV systems (“Services”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”). Terms of Service govern your access to and use of the Services provided by Phambili Technologies.

2 Service Provision

Phambili Technologies agrees to provide the Services according to the specific service package (“Service Package”) chosen by the client. Each Service Package includes detailed descriptions of the service scope, hours of service provision, and other pertinent details as outlined in the official proposal and service agreement.

3 Client Obligations

Clients are responsible for:

• Providing all necessary access to information, facilities, and hardware, as required to deliver the Services.
• Ensuring that all data, passwords, and sensitive information are securely managed.
• Complying with all applicable laws and regulations in relation to the Services provided.

4 Payments and Fees

Clients agree to pay all fees associated with their chosen Service

Package as detailed in the service agreement. Payments are due according to the terms set forth in the invoice or service agreement, typically within 30 days of the invoice date.

Late payments may incur additional charges or result in suspension of Services.

5 Service Modifications and Upgrades

Phambili Technologies reserves the right to modify, replace, or discontinue any part of the Services, or the entire service, at any time, given that clients are notified in advance. Clients may upgrade or change their Service Package subject to the terms outlined in their service agreement and any additional fees that may apply.

6 Cancellation and Termination

Clients may cancel their Service Package with a notice period as defined in their service agreement, typically 30 days. Phambili Technologies may terminate the agreement with immediate effect upon breach of these Terms by the client, which remains uncured after reasonable notice.

7 Confidentiality

Both parties agree to maintain the confidentiality of information shared during the course of service provision, except where disclosure is required by law.

8 Limitation of Liability

Phambili Technologies will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the service.

9 Intellectual Property

All intellectual property rights in the Services provided shall remain the property of Phambili Technologies or its licensors. The client is granted a non-exclusive, limited license to use the products and services provided.

10 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

11 Changes to Terms

Phambili Technologies reserves the right to update and change the Terms of Service by posting updates and changes to our website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.
